Services refers to all computer systems design, IT consulting, software engineering, cloud and DevOps solutions, cybersecurity services, technical support, and any other offerings provided by Forge Techs. Content refers to all text, graphics, logos, software, and materials appearing on or delivered through our website.

These terms apply to all visitors, users, and others who access or use our services, whether through our website, direct engagement, or any other means of interaction with Forge Techs.

2. Services Description

FG TECH LLC provides professional technology services including but not limited to computer systems design and architecture, IT consulting and strategic planning, custom software development and engineering, cloud infrastructure and DevOps implementation, cybersecurity assessments and protection, and ongoing technical support and maintenance.

All services are subject to separate statements of work or service agreements that define specific deliverables, timelines, and fees. In the event of any conflict between these Terms of Service and a specific service agreement, the service agreement shall control with respect to that engagement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, without liability to you or any third party.

3. User Obligations

By using our website and services, you represent and warrant that you are at least eighteen years of age and have the legal authority to enter into these terms. You agree to provide accurate, current, and complete information when interacting with our website or engaging our services.

You agree not to use our website or services for any unlawful purpose, to attempt unauthorized access to our systems or networks, to interfere with or disrupt the integrity or performance of our services, to transmit any malicious code or harmful data, or to engage in any activity that could damage, disable, or impair our infrastructure.

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

4. Intellectual Property

5. Payment Terms

Fees for our services are as specified in individual service agreements or statements of work. Unless otherwise stated, all fees are quoted in United States dollars and are due within thirty days of invoice date. Late payments may be subject to interest charges at the rate of one and one-half percent per month or the maximum rate permitted by law, whichever is less.

You are responsible for all applicable taxes, duties, and levies associated with services provided, excluding taxes based on our net income. We reserve the right to require advance payment, deposits, or milestone-based billing as specified in service agreements.

If you dispute any charges, you must notify us in writing within fifteen days of the invoice date. Undisputed portions of invoices must be paid by the due date regardless of any pending disputes on other items.

6. Limitation of Liability

To the maximum extent permitted by applicable law, FG TECH LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our website or services.

Our total aggregate liability for any claims arising out of or related to these terms or our services shall not exceed the total amount paid by you to us during the twelve months preceding the event giving rise to the claim. This limitation applies regardless of the legal theory upon which the claim is based.

We do not warrant that our website will be uninterrupted, error-free, or free of harmful components. Our website and services are provided on an as-is and as-available basis without warranties of any kind, whether express or implied.

7. Indemnification

8. Termination

These Terms of Service remain in effect until terminated by either party. We may terminate or suspend your access to our website and services at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use our website and services will immediately cease.

You may terminate your use of our website at any time by ceasing all access. Active service engagements may only be terminated in accordance with the termination provisions of the applicable service agreement. Provisions of these terms that by their nature should survive termination shall survive, including intellectual property provisions, limitation of liability, and indemnification obligations.

9. Governing Law

These Terms of Service and any disputes arising out of or related to these terms or our services shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Broward County, Florida.

You consent to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum. The prevailing party in any dispute shall be entitled to recover its reasonable attorneys fees and costs from the non-prevailing party.
